At a very early stage of their work on a distressed corporate relationship, restructuring bankers form a high-level view of the possible recoveries to be made from a liquidation/break-up of the business. This undergoes a process of evolution until a fully-formed liquidation/outcomes model is ready and available to guide the final workout solution:

• Overview of methods of valuing individual assets and the enterprise value of the business as a whole;
• Development of range of scenarios for the valuations;
• Overview of the drivers of the distributions to different classes of creditor and equity: absolute priority rule; insolvency framework of the relevant jurisdiction; contractual subordination, and structural subordination;
• How distributions differ in practice, for example as a result of one stakeholder having far stronger negotiating power than implied by its economic interest;
• How liquidation/outcomes models shape our chosen workout solution.
